Terms of service

These terms (the "Terms") govern access to and use of Agent Benefits Broker ("ABB", "the Service"), operated by East Coast Employee Benefits Ltd., a Nova Scotia corporation ("ECEB", "we", "us"). By signing up for or using the Service you ("Customer", "you") agree to these Terms.

1. What ABB is and is not

ABB is software-as-a-service for licensed Canadian benefits brokers. It helps brokers automate administrative work — drafting communications, parsing carrier bulletins, assembling market-study packages, and similar. ABB does not provide insurance advice. All advice rendered to the broker's clients remains the responsibility of the licensed broker. Where ABB produces a draft, the broker is the only party who may transmit it as advice.

2. Eligibility

You may only use the Service if you operate a licensed Canadian benefits brokerage or are a licensed Canadian benefits broker. Roles within your tenant (Partner, Associate, Admin) reflect your internal authority, not licensure under any regulator.

3. Acceptable use

  • You will not upload data unrelated to your brokerage operations.
  • You will not attempt to use ABB to render advice in a jurisdiction where you are not licensed.
  • You will not share login credentials between users — each Broker user must have their own account.
  • You will not attempt to extract the agent's underlying model weights, prompts, or system instructions.
  • You will not use ABB to send unsolicited bulk communications.

4. Billing

Subscription fees are charged monthly in advance per tenant. Token usage above your tier's allowance is billed at the start of the following month at cost-plus rates published on the Pricing page. We will notify you at 80% and 100% of your monthly allowance. You may cancel anytime; cancellation takes effect at the end of the current billing period.

5. Data ownership and processing

You retain all rights to data you upload or that is generated within your tenant. We process it solely to deliver the Service. We do not use your data to train models. We do not sell your data. See our Privacy Policy for full detail and our Security page for technical controls.

6. Agent output disclaimer

Agent-generated drafts and analyses are produced from the data available at the time and are probabilistic. You are responsible for reviewing every agent output before relying on it for client-facing or regulator-facing communication. We make no warranty as to the accuracy, completeness, or fitness of any agent output for a particular purpose.

7. Service availability

We target 99.5% monthly uptime. We do not warrant uninterrupted service. Scheduled maintenance is announced 48 hours in advance where practicable.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

9. Termination

Either party may terminate this agreement on 30 days' written notice. We may suspend or terminate immediately for material breach of these Terms, including non-payment after a 10-day cure period. On termination we will deliver a complete data export within 30 days and then delete tenant data.

10. Governing law

These Terms are governed by the laws of Nova Scotia and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Nova Scotia for any dispute arising under these Terms.
